1. Definitions
In these Terms, the following words have the meanings given below, unless the context requires otherwise.
- "Agent" or "Service Provider" means an independent third party registered on the Platform who offers booking-assistance services for Tatkal tickets, attempting bookings on Indian Railways' IRCTC system using the Agent's own individually held IRCTC account, credentials, and quota entitlement, and who is not an employee, representative, or agent (in the legal sense of agency law) of TatkalDone.
- "Agent Confirmed Fare" means the fare figure independently entered and confirmed by an Agent after accepting a Booking Request, as described in Section 4.
- "Agent Fee" means the amount charged by an Agent for their booking-assistance service, displayed separately from the base fare and the Service Charge.
- "Agent-Caused Cancellation" means the cancellation of a successfully booked ticket by an Agent without the User's prior instruction or authorisation, as described in Section 8.5 and Annexure A.
- "Booking" or "Tatkal Booking" means a railway ticket booked, or attempted to be booked, through the Tatkal quota scheme operated by IRCTC pursuant to a Booking Request.
- "Booking Request" means a request submitted by a User through the Platform specifying travel details for an intended Tatkal Booking.
- "Chart Preparation" means the process by which IRCTC finalises the passenger list and seat/berth allocation for a train, typically a few hours before departure, after which cancellation and refund rules under IRCTC's own policy become materially stricter.
- "Estimated Fare Range" means the indicative, non-binding fare range generated by the Platform at the Booking Request stage, described in Section 6.1.
- "Grievance Officer" means the officer appointed by TatkalDone under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, identified in Section 16.
- "IRCTC" means the Indian Railway Catering and Tourism Corporation Limited, and "Indian Railways" means the Ministry of Railways, Government of India, and its operating zones.
- "Payment Aggregator" means Razorpay or any successor entity authorised by the Reserve Bank of India that TatkalDone engages to process payments on the Platform.
- "PNR" means the Passenger Name Record number issued by IRCTC on successful booking of a ticket.
- "Platform", "TatkalDone", "we", "us", or "our" means the TatkalDone marketplace accessible through its website and mobile applications, operated by [Legal Entity Name, registered office address — to be inserted on incorporation/registration].
- "Protected Hold" or "Escrow Amount" means funds paid by a User for a Booking Request, held by the Payment Aggregator pending release in accordance with Section 7.
- "RAC" means Reservation Against Cancellation, an IRCTC seat-allocation category in which a passenger shares a berth pending full confirmation.
- "Service Charge" or "Platform Fee" means the fee charged by TatkalDone for use of the Platform, separate from the Agent Fee.
- "Tatkal Cutoff" or "Cancellation Cutoff" means the time before which a pending (not-yet-booked) Booking Request may be cancelled with a guaranteed full refund, currently 8:00 AM IST on the date of intended travel, as may be updated on the Platform from time to time.
- "Terms" means this Terms of Service document, as amended from time to time in accordance with Section 20.
- "TTE" means a Travelling Ticket Examiner or other Indian Railways staff exercising on-board ticketing authority.
- "User", "you", or "your" means an individual who registers on and uses the Platform to seek a Tatkal Booking through an Agent.
- "WL" means Waitlist, an IRCTC ticket status indicating the passenger does not yet hold a confirmed or RAC berth.
2. Nature of the Platform and Intermediary Status
2.1 TatkalDone is a technology marketplace and secure-payment facilitation service. It connects Users with independent Agents and provides tools for communication, fare estimation, payment protection, and status tracking in relation to attempted Tatkal Bookings.
2.2 TatkalDone is not an IRCTC-authorised booking agent and does not itself hold any IRCTC agent credential, login, or quota entitlement. TatkalDone does not book, attempt to book, or cause to be booked, any railway ticket. Every Booking is attempted solely by the Agent a User selects, using that Agent's own independently obtained IRCTC account.
2.3 TatkalDone qualifies, and intends at all times to operate, as an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, and avails itself of the protection available under Section 79 of that Act read with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. This protection is conditional on TatkalDone, Users, and Agents observing the due-diligence obligations set out in these Terms and applicable law.
2.4 Any train schedule, seat-availability indication, fare reference, or PNR or journey status shown on the Platform may be generated using data obtained from third-party data providers and/or publicly available Indian Railways tariff information. Such data is provided for general guidance only, is not sourced from, endorsed by, or binding on IRCTC or Indian Railways, and may differ from the official position available on the IRCTC website or at the railway station.
2.5 Nothing on the Platform — including any badge, status indicator, or marketing material — should be construed as an endorsement, certification, or affiliation by IRCTC or Indian Railways of TatkalDone or any Agent.
2.6 TatkalDone's role at every stage of a Booking is limited to: (a) connecting you with an Agent; (b) holding your payment securely until verification; (c) monitoring publicly or contractually available status data; and (d) facilitating dispute resolution. TatkalDone does not exercise control over, and is not a party to, the booking transaction itself, which occurs entirely between you (as the intended passenger) and Indian Railways, executed on your behalf by the Agent.
3. Eligibility and Account Registration
3.1 You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to register for or use the Platform.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account, whether or not authorised by you, except to the extent caused by TatkalDone's own proven negligence.
3.3 You must provide accurate, current, and complete information at registration and keep it updated. TatkalDone may verify your identity, including through WhatsApp OTP, email verification, or Google OAuth, before permitting certain actions on the Platform.
3.4 Each individual may maintain only one active account, unless TatkalDone expressly permits otherwise. Creating multiple accounts to circumvent booking limits or the Refund Policy is a breach of these Terms and may result in suspension under Section 15.
3.5 You may book on behalf of family members or others for genuine travel purposes, provided you ensure the accuracy of their passenger details under Section 10.1 and that they consent to your handling of their personal data for that purpose.
4. The Booking Process
4.1 You submit a Booking Request specifying origin, destination, travel date, class, and passenger details through the Platform's request form.
4.2 At the request stage, the Platform displays an Estimated Fare Range for guidance only. This figure is generated internally from publicly published Indian Railways tariff structures and is not a quote, offer, or confirmed price, and may differ from the fare ultimately applicable.
4.3 An Agent who accepts your Booking Request will independently confirm the exact applicable fare from their own access to the IRCTC system. The figure subsequently shown to you as the Agent Confirmed Fare is the figure entered and confirmed by that Agent. TatkalDone applies an internal verification check to this figure purely as a fraud-prevention measure before display; this check is not a TatkalDone guarantee of the figure's accuracy.
4.4 Once verified, the base fare and statutory or reservation components of the fare are locked and non-editable. Only the Agent Fee component may, within Platform-permitted limits, be subsequently adjusted by the Agent, and any change is shown to you for review before payment.
4.5 You will be shown a full breakdown of the Agent Confirmed Fare, the applicable Agent Fee, and the TatkalDone Service Charge before you are asked to authorise payment. No payment is processed without your affirmative action.
4.6 On your payment, funds are transferred to the Protected Hold described in Section 7, and the Agent then attempts the Booking using their own IRCTC account.
4.7 On a successful Booking, the Agent uploads the PNR to the Platform. TatkalDone's verification team reviews the uploaded PNR and, where reasonably feasible, performs an additional status check, before releasing funds from the Protected Hold.
4.8 If the Agent is unable to complete the Booking, or the uploaded PNR fails verification, the Booking Request is treated as unsuccessful and the full Protected Hold amount is refunded to you in accordance with Section 8.
4.9 You acknowledge that Tatkal booking windows open at fixed times set by IRCTC, that quota is limited and may be exhausted within seconds of opening, and that no Agent or platform — TatkalDone included — can guarantee a successful Booking. Acceptance of a Booking Request by an Agent is an undertaking to attempt the booking in good faith, not a guarantee of success.
5. Agents on the Platform
5.1 Agents are independent third parties who register on the Platform to offer Tatkal booking-assistance services. They are not employees, representatives, or partners of TatkalDone.
5.2 TatkalDone collects identity and related documents from Agents as part of its internal onboarding process. This process is not publicly disclosed and does not constitute a certification, guarantee, or representation that any Agent is authorised by IRCTC to conduct Tatkal bookings, or that their future conduct will be lawful or satisfactory.
5.3 You acknowledge that engaging any Agent carries inherent counterparty risk typical of any marketplace, and that the financial and monitoring protections in Sections 7, 8, and 9 apply to all Bookings regardless of which Agent you select.
5.4 TatkalDone may suspend or remove any Agent at any time based on complaints, misconduct, or risk to Platform integrity, without prior notice to Users.
6. Fares, Estimates, and Pricing
6.1 The Estimated Fare Range described in Section 4.2 is indicative only and may be higher or lower than the fare ultimately applicable to your Booking. You should not rely on it as a final price.
6.2 The Agent Confirmed Fare described in Section 4.3 reflects the figure independently confirmed by your assigned Agent. While TatkalDone applies an internal check intended to catch obviously manipulated entries, TatkalDone does not independently re-derive or warrant the correctness of the Agent Confirmed Fare; your remedy in the event of a discrepancy is set out in Section 8 and Annexure A.
6.3 The total amount payable by you comprises: the base fare and statutory reservation charges as confirmed by the Agent; the Agent Fee; and the TatkalDone Service Charge. Each component is itemised and shown to you before payment. A full illustrative fee schedule appears at Annexure C.
6.4 TatkalDone reserves the right to decline to process any Booking Request where the Agent Confirmed Fare or any other input appears, in TatkalDone's reasonable assessment, to be manipulated, fraudulent, or inconsistent with publicly available tariff data.
6.5 Prices, fee structures, and the Estimated Fare Range methodology may be updated by TatkalDone from time to time; the figures applicable to your Booking are those shown to you at the time of payment.
7. Payments and Protected Hold (Escrow)
7.1 All payments on the Platform are processed through the Payment Aggregator. TatkalDone does not, at any stage prior to release under this Section, receive or hold User funds directly in its own operating bank account.
7.2 Funds you pay for a Booking Request are held in Protected Hold status until one of the following occurs:
- the Agent uploads a PNR and TatkalDone's verification team confirms it as valid, on which the Agent Fee and Service Charge are released to the Agent and TatkalDone respectively, and the base fare component (already incurred by the Agent on IRCTC) is settled to the Agent;
- the Booking Request fails, is rejected at verification, or is cancelled in accordance with Section 8, on which the applicable Protected Hold amount is refunded to you; or
- the Booking Request remains unresolved beyond the timeframe stated in Annexure D, on which it is treated as failed and refunded.
7.3 You may track the status of your Protected Hold through the Platform at any time, including the stage it has reached (pending agent acceptance, pending booking attempt, pending verification, released, or refunded).
7.4 Where you dispute TatkalDone's determination on release or refund of a Protected Hold amount, you may raise the dispute through the grievance process described in Section 16. TatkalDone will not release a disputed amount to an Agent until the dispute is resolved, except where the dispute is, on its face, frivolous or made in bad faith.
7.5 Refunds are processed back to your original payment method through the Payment Aggregator. TatkalDone is not responsible for delays caused by your bank, card network, or UPI provider once a refund has been initiated, though TatkalDone will assist in tracing a delayed refund on request.
8. Cancellations and Refunds
8.1 Indian Railways' own Tatkal rules generally do not permit a refund of the base fare for a confirmed Tatkal ticket once booked, regardless of when it is subsequently cancelled, except where Indian Railways itself cancels or substantially alters the train, or in other specific circumstances determined by IRCTC's own refund rules. These Railways-determined outcomes are outside TatkalDone's control and are not affected by these Terms.
8.2 If you cancel a Booking Request before the Agent has attempted the booking, you are entitled to a full refund of the Protected Hold amount, provided your cancellation is raised before the Tatkal Cutoff (currently 8:00 AM IST on the date of intended travel, or such other cutoff as the Platform displays at the time of your request). Cancellations raised after this point may not be guaranteed, as the Agent may already be attempting or have completed the booking.
8.3 If the Agent is unable to complete the Booking, or the PNR fails TatkalDone's verification, you are entitled to a full refund of the Protected Hold amount, including the Service Charge, as no service was completed.
8.4 If you instruct cancellation of a ticket that the Agent has already successfully booked, any fare-refund restriction under Section 8.1 applies to the base fare portion. The Agent Fee and TatkalDone Service Charge, reflecting work already completed, may be retained as disclosed to you in the fee breakdown shown before payment.
8.5 If an Agent cancels a successfully booked ticket without your instruction or authorisation (an Agent-Caused Cancellation), you are entitled to a full refund of the Protected Hold amount — including the base fare, Agent Fee, and Service Charge — regardless of Section 8.1. TatkalDone will additionally suspend the responsible Agent's account pending review and will pursue recovery from that Agent in accordance with Section 14.
8.6 Where cancellation is requested using the Platform's cancellation interface, you will be asked to select a reason from a fixed set of categories; this is to ensure consistent, auditable handling of your request and to route Agent-Caused Cancellations correctly to the recovery process in Section 14.
8.7 Refund timing: refunds approved under this Section are initiated to the Payment Aggregator within the timeframe stated in Annexure D, and typically reflect in your original payment method within the timelines set by your bank or UPI provider, which TatkalDone does not control.
8.8 A complete, illustrative matrix of cancellation and refund outcomes across the scenarios most likely to arise is set out at Annexure A, which forms part of, and is to be read together with, this Section 8.
9. Real-Time Monitoring and Notification Commitment
9.1 Where a Booking has been confirmed, TatkalDone undertakes to operate periodic, automated monitoring of the Booking's PNR and journey status from confirmation through to the scheduled completion of the journey, and not merely up to the train's departure or your boarding.
9.2 Where TatkalDone's monitoring detects a cancellation or a material adverse change to a confirmed Booking, TatkalDone will use reasonable efforts to notify you through your registered contact channel — in-app notification, WhatsApp, SMS, or email — as promptly as reasonably practicable. Indicative service levels are set out in Annexure D.
9.3 This monitoring and notification service operates on a best-efforts basis using data available to TatkalDone, including third-party rail-data sources, at the relevant time. TatkalDone does not control, and cannot guarantee the speed, completeness, or real-time accuracy of, any third-party data source, the IRCTC system, or any Agent's own conduct. You should independently verify your ticket and PNR status through official IRCTC channels, particularly close to your travel date.
9.4 Events occurring during travel — including seat allocation, RAC movement, waitlist clearance, and any action taken by railway staff including a TTE — are governed entirely by Indian Railways' own operational rules and are outside TatkalDone's control. TatkalDone's role under this Section is limited to detecting and communicating changes reflected in the Booking record, and your remedies in respect of a Booking are as set out in Sections 8 and 13.
9.5 Where a cancellation or status change is detected, TatkalDone will retain a timestamped record of (a) the time of detection, (b) the time of notification to you, and (c) the time of any resulting refund or escalation. This record exists to support your position, and TatkalDone's position, in any dispute, and is described further at Annexure B.
10. User Responsibilities
10.1 You are responsible for the accuracy of all passenger details — including full name, age, gender, and identification details — submitted for a Booking. A Booking rendered unusable due to inaccurate details you supplied is not a TatkalDone or Agent deficiency.
10.2 You must keep your registered contact details (phone number, WhatsApp number, email) current and capable of receiving the notifications described in Section 9. TatkalDone is not responsible for a notification that fails to reach you because your registered details are outdated or incorrect.
10.3 You must use the Platform only for genuine personal or authorised third-party travel bookings, and in compliance with these Terms, IRCTC's own terms of use, and applicable Indian law.
10.4 You should monitor your registered contact channel during the period leading up to, and during, your journey, so that you can act promptly on any notification TatkalDone sends under Section 9.
11. Identity and Travel Documents
11.1 Every passenger travelling on a Booking made through the Platform must carry valid, original, government-recognised photo identification during travel, as required by Indian Railways. A confirmed ticket or PNR does not waive this requirement.
11.2 Compliance with Indian Railways' and IRCTC's own rules of travel — including identification, luggage, conduct, and ticketing rules — at the time of travel is your sole responsibility. TatkalDone is not a party to, and has no control over, the application of those rules by railway staff.
12. Prohibited Conduct
You agree that you will not:
- provide false, misleading, or another person's identity, passenger, contact, or payment information;
- attempt to defraud an Agent, another User, or TatkalDone, including by falsely disputing a successfully delivered Booking;
- interfere with, probe, reverse-engineer, or attempt to disrupt the security, integrity, or normal operation of the Platform;
- create or use multiple accounts to circumvent booking limits or the Refund Policy;
- use the Platform to resell, scalp, or commercially redistribute Tatkal tickets in a manner inconsistent with Indian Railways' rules or applicable law;
- threaten, harass, or abuse an Agent, another User, or TatkalDone's support or grievance personnel;
- attempt to bypass the Protected Hold mechanism by arranging payment to an Agent outside the Platform;
- submit a false Agent-Caused Cancellation claim, or otherwise misuse the cancellation-reason categories described in Section 8.6, to obtain a refund or trigger Agent suspension without basis;
- use automated means (bots, scripts) to submit Booking Requests at a volume or pattern inconsistent with genuine personal travel needs;
- use the Platform for any unlawful purpose or in breach of IRCTC's or Indian Railways' own rules.
12.11 A breach of this Section 12 may result in suspension or termination under Section 15, and may trigger your indemnification obligations under Section 14.1.
13. Limitation of Liability
13.1 The Protected Hold and refund mechanism described in Sections 7 and 8 is your primary financial remedy for an unsuccessful, defective, or wrongly cancelled Booking.
13.2 Subject to Section 13.6, TatkalDone's aggregate liability arising out of or in connection with any single Booking, whether in contract, tort, or otherwise, is limited to the Protected Hold amount paid by you for that Booking.
13.3 TatkalDone is not liable for: downtime or unavailability of IRCTC's or Indian Railways' systems; exhaustion or unavailability of Tatkal quota; delay, cancellation, rescheduling, or any other operational decision made by Indian Railways or IRCTC; outages of any payment gateway; or events described in Section 18 (Force Majeure).
13.4 Where TatkalDone has met its monitoring and notification commitment under Section 9 and has provided the refund or remedy due to you under Section 8 for a given Booking, TatkalDone will not separately be liable for losses arising from the independent conduct of an Agent, another passenger, or railway personnel during your journey, because such losses do not arise from a deficiency in TatkalDone's own service. Nothing in this Section 13.4 limits your right to pursue an Agent or other responsible third party directly, or affects any right you may have under the Consumer Protection Act, 2019 that cannot lawfully be excluded by agreement.
13.5 TatkalDone is not liable for indirect, incidental, or consequential loss, including loss of a connecting journey, lost opportunity, or loss not reasonably foreseeable from the matters covered by these Terms.
13.6 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Indian law, including liability for death or personal injury caused by proven negligence, or liability arising from TatkalDone's own fraud or wilful misconduct.
13.7 TatkalDone's liability framework is built on a causation principle, not a blanket disclaimer of named events: TatkalDone does not attempt to disclaim responsibility for specific occurrences (such as a dispute with a TTE) by name. Instead, whether TatkalDone bears liability for a given incident turns on whether TatkalDone's own conduct — principally, its monitoring, notification, and refund performance under Sections 8 and 9 — was deficient. Illustrative applications of this principle are set out at Annexure B.
14. Indemnification and Right of Recovery
14.1 You agree to indemnify, defend, and hold harmless TatkalDone, its officers, employees, and affiliated Agents from and against any claim, demand, loss, damage, or cost — including reasonable legal costs — arising out of or in connection with: your breach of these Terms; inaccurate or false information you provided; your violation of applicable law or of IRCTC's or Indian Railways' rules; or your fraud or misuse of the Platform directed at an Agent, another User, or TatkalDone.
14.2 Where a claim, demand, or legal proceeding is brought against TatkalDone that arises substantially from the act, default, or fraud of an identifiable User, Agent, or other third party — rather than from a deficiency in TatkalDone's own service — TatkalDone reserves the right, at its discretion, to:
- (a) bring that party into the proceeding, including by way of impleadment, third-party notice, or cross-claim, to the extent Indian procedural law permits; and/or
- (b) separately pursue that party for indemnification or contribution, including before a court, consumer forum, or arbitral tribunal,
so as to recover any amount TatkalDone is required to pay and, where the relevant forum permits, to have the recovered amount directed toward the User or third party affected by that act or default.
14.3 Section 14.2 is a contractual allocation of ultimate financial responsibility between TatkalDone and the responsible party. It does not by itself determine the outcome of any proceeding, which remains subject to applicable law and the discretion of the relevant court, forum, or tribunal, nor does it affect the independent rights of any third party against TatkalDone. TatkalDone cannot and does not promise that a court will permit impleadment or order recovery in every case; it promises only to pursue this route where legally available and commercially sensible.
14.4 Your obligations under this Section 14 survive the termination or suspension of your account and the conclusion of any individual Booking.
14.5 The Agent Agreement contains a corresponding indemnification clause running from Agents to TatkalDone, including specifically for losses caused by Agent-Caused Cancellations, false fare entries, and unauthorised conduct, which is the principal mechanism by which TatkalDone recovers amounts paid out to Users under Section 8.5.
14.6 Worked illustrations of how Section 14.2 is intended to operate are set out at Annexure B.
15. Suspension and Termination
15.1 TatkalDone may suspend or terminate your account, with or without notice, if you breach these Terms, attempt fraud, misuse the Platform, or create risk to other Users, Agents, or TatkalDone.
15.2 You may close your account at any time by request through the Platform. Certain records may be retained thereafter as required by applicable law, including the Information Technology Act, 2000 and rules made thereunder.
15.3 Termination or suspension of your account does not affect your refund rights for a Booking already in progress at the time of termination, nor does it affect either party's accrued rights or obligations, including under Sections 13 and 14.
15.4 Where TatkalDone suspends your account, it will, where reasonably practicable, inform you of the general basis for suspension, save where doing so would compromise a fraud investigation or legal proceeding.
16. Grievance Redressal
16.1 In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, TatkalDone has appointed a Grievance Officer to receive and address complaints relating to the Platform.
16.2 Grievance Officer details — Name: [to be inserted]; Designation: Grievance Officer; Email: [grievance@tatkaldone.example — to be inserted]; Address: [registered office address — to be inserted]. These details are also published on the Platform.
16.3 TatkalDone will acknowledge a grievance within twenty-four (24) hours of receipt and will endeavour to resolve it within fifteen (15) days, or such other period as may be prescribed by applicable law from time to time.
16.4 You are encouraged to raise a Booking-related dispute through the Platform's in-app support channel for the fastest resolution. Complaints concerning unlawful content or conduct should be addressed to the Grievance Officer directly.
16.5 Grievance process steps:
- (a) you submit the grievance with supporting details (Booking ID, description, evidence if any);
- (b) TatkalDone acknowledges receipt within 24 hours;
- (c) the relevant team reviews Booking records, PNR data, and communication logs;
- (d) TatkalDone communicates a determination, including the refund or other remedy (if any);
- (e) if you remain dissatisfied, you may escalate to the Grievance Officer, and thereafter to a consumer forum or court of competent jurisdiction under Section 23.
17. Privacy and Data
17.1 TatkalDone's collection, use, and sharing of your personal data — including for identity verification, WhatsApp OTP authentication, and payment processing — is governed by its Privacy Policy, published on the Platform and incorporated into these Terms by reference.
17.2 TatkalDone shares with an Agent only the information about you reasonably necessary to complete a Booking, such as passenger names, ages, and travel details, and shares payment information only with the Payment Aggregator, not with Agents directly.
17.3 You consent to receiving Booking-related communications, including OTPs and status notifications, via WhatsApp, SMS, and email, as reasonably necessary to operate the service described in these Terms.
18. Force Majeure
18.1 TatkalDone is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, civil unrest, governmental action, internet or telecommunications failure, failure of IRCTC's or Indian Railways' systems, or failure of a third-party payment aggregator or data provider.
19. Intellectual Property
19.1 All trademarks, logos, software, and content on the Platform — excluding User-submitted content and third-party rail data — are the property of TatkalDone or its licensors. You may not copy, modify, or create derivative works from Platform content without TatkalDone's prior written consent.
20. Amendments
20.1 TatkalDone may revise these Terms from time to time, including to reflect changes in law, IRCTC's rules, or the Platform's features. Material changes will be notified through the Platform or your registered contact details. Continued use of the Platform after an update constitutes your acceptance of the revised Terms.
21. Severability and Waiver
21.1 If any provision of these Terms is held invalid, unenforceable, or void by a court or tribunal of competent jurisdiction — including under Section 23 of the Indian Contract Act, 1872 — that provision will be severed, and the remaining provisions will continue in full force and effect, giving effect to the parties' original intent to the maximum extent the law permits.
21.2 TatkalDone's failure to enforce any provision of these Terms is not a waiver of its right to do so later.
22. Entire Agreement and Assignment
22.1 These Terms, together with the Privacy Policy and the Annexures forming part of this document, constitute the entire agreement between you and TatkalDone regarding your use of the Platform, superseding any prior understanding.
22.2 TatkalDone may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms without TatkalDone's prior written consent.
23. Governing Law and Jurisdiction
23.1 These Terms are governed by the laws of India.
23.2 Subject to Section 16 (Grievance Redressal), any dispute arising out of or relating to these Terms or your use of the Platform is subject to the exclusive jurisdiction of the courts at Chennai, Tamil Nadu, without prejudice to any right you may separately have to approach a consumer forum having jurisdiction under the Consumer Protection Act, 2019.
24. Contact and Notices
24.1 Notices to TatkalDone under these Terms should be sent to [support/legal email — to be inserted] or through the in-app support channel. Notices to you will be sent to your registered email, phone number, or WhatsApp number, or displayed within the Platform.
Annexure A — Cancellation & Refund Scenario Matrix
This Annexure illustrates how Section 8 applies to specific situations. It is illustrative, not exhaustive; where a situation is not listed, Section 8's general principles govern.
A.1 — User cancels before any Agent has accepted the Booking Request.
Outcome: Full refund of Protected Hold, no charge. Applies under Section 8.2.
A.2 — Agent accepts, User cancels before the Agent attempts booking, before the Tatkal Cutoff.
Outcome: Full refund of Protected Hold. Applies under Section 8.2.
A.3 — User cancels after the Tatkal Cutoff but before the Agent has started the booking attempt.
Outcome: Refund is not guaranteed, since the Agent may already have committed time/quota toward the attempt; TatkalDone will review in good faith and may grant a full or partial refund depending on whether the Agent had in fact begun the attempt. Applies under Section 8.2.
A.4 — Agent attempts the booking and it fails (e.g., quota exhausted, technical failure on IRCTC's side).
Outcome: Full refund including Service Charge, as no service was completed. Applies under Section 8.3.
A.5 — Agent successfully books; User voluntarily cancels the ticket before Chart Preparation.
Outcome: IRCTC's own no-refund rule for confirmed Tatkal tickets applies to the base fare (Section 8.1); Agent Fee and Service Charge, reflecting completed work, are retained. Applies under Section 8.4.
A.6 — Same as A.5, but cancellation is after Chart Preparation.
Outcome: Same result as A.5 — IRCTC's rule on confirmed Tatkal tickets does not become more favourable after Chart Preparation; base fare remains non-refundable, Agent Fee and Service Charge retained. Applies under Section 8.1 and 8.4.
A.7 — Agent cancels a successfully booked ticket without the User's instruction, before travel.
Outcome: Full refund of base fare, Agent Fee, and Service Charge. Agent suspended pending review. TatkalDone pursues recovery from the Agent under Section 14. Applies under Section 8.5 (Agent-Caused Cancellation).
A.8 — Agent cancels a successfully booked ticket without the User's instruction, close to or during travel.
Outcome: Same financial remedy as A.7, plus TatkalDone's monitoring and notification commitment under Section 9 is engaged at maximum priority, and the timestamped detection/notification record described in Section 9.5 is preserved to support the User in any on-board dispute (e.g., with a TTE). Applies under Sections 8.5, 9, and 14.
A.9 — Train is cancelled or substantially altered by Indian Railways.
Outcome: Refund follows IRCTC's own refund rule for that circumstance; TatkalDone passes through whatever IRCTC determines and does not independently restrict or enhance it, save that TatkalDone's Service Charge is refunded in full since the journey could not occur. Applies under Section 8.1.
A.10 — PNR remains on RAC or Waitlist and does not confirm by Chart Preparation.
Outcome: Refund follows IRCTC's own waitlist/RAC refund rule for that ticket category; TatkalDone notifies the User of the outcome under Section 9 and processes any IRCTC-determined refund through the Protected Hold mechanism. Applies under Sections 8.1 and 9.
A.11 — User supplied incorrect passenger details, and the resulting ticket is unusable.
Outcome: No refund; this is the User's own error under Section 10.1, and is not a Platform or Agent deficiency.
A.12 — Agent enters a fare that TatkalDone's backend validation flags as manipulated, before payment.
Outcome: Booking Request is rejected before any payment is taken; User is not charged. Applies under Section 6.4.
A.13 — Same as A.12, but the manipulation is discovered after payment.
Outcome: Full refund to the User; the Agent's conduct is reviewed and may result in suspension under Section 15 and recovery proceedings under the Agent Agreement.
A.14 — Payment is deducted by the Payment Aggregator but does not reflect on the Platform (technical glitch).
Outcome: Funds remain traceable within the Protected Hold system; User may raise a grievance under Section 16; full reconciliation refund is issued if the Booking does not proceed.
A.15 — User disputes that the Agent ever delivered a valid ticket, while the Agent claims the PNR was uploaded correctly.
Outcome: TatkalDone's admin team reviews the uploaded PNR against available status data; the Protected Hold is not released to the Agent until the dispute is resolved under Section 7.4 and the Section 16 grievance process; the outcome (release to Agent or refund to User) follows from that review, not from either party's bare assertion.
A.16 — User cancels a Booking Request, and a second, independent technical issue (e.g., a failed refund transfer) delays the refund.
Outcome: The User's underlying refund entitlement under A.1–A.10 is unaffected; TatkalDone will assist in tracing and resolving the technical delay under Section 7.5, but is not liable for delays caused by the User's own bank or UPI provider once a refund has been correctly initiated.
Annexure B — Liability & Recovery Scenario Illustrations
This Annexure illustrates how Sections 13 and 14 are intended to apply. It does not create rights or obligations beyond those Sections; it is provided for clarity only.
B.1 — A User is removed from RAC seating after an Agent fraudulently cancels their ticket mid-journey.
TatkalDone's position: if monitoring detected the cancellation and notification was sent under Section 9, and the full refund under Section 8.5 was processed, TatkalDone's service obligations were met. TatkalDone will provide the User with its timestamped detection/notification/refund log (Section 9.5) for use with Indian Railways or, if necessary, in any legal proceeding, and will pursue the Agent for indemnification under Section 14.2, including by impleading the Agent if the User initiates proceedings against TatkalDone.
B.2 — An Agent disputes withheld Agent Fee, claiming the User falsely reported non-delivery of a ticket.
TatkalDone's position: the dispute is resolved by reviewing the uploaded PNR and status evidence under Section 7.4/16.5. If the User's claim is found unsubstantiated, the fee is released to the Agent, and the User's indemnification obligation under Section 14.1 may be invoked if the false claim amounts to fraud under Section 12.2.
B.3 — A third passenger, displaced from a berth by RAC reallocation following an Agent's unauthorised cancellation, raises a complaint.
TatkalDone's position: that passenger is not in a contractual relationship with TatkalDone under these Terms. If TatkalDone is nonetheless drawn into a dispute or proceeding concerning that displacement, the causation analysis in Section 13.4 and the recovery mechanism in Section 14.2 apply in the same way as in B.1 — liability, if any, traces back to the Agent's independent conduct, not a deficiency in TatkalDone's monitoring or notification performance.
B.4 — A User alleges TatkalDone's monitoring was too slow, causing a missed notification before boarding.
TatkalDone's position: this is precisely the scenario Section 13.4 treats as a potential service deficiency rather than a third-party-conduct issue. TatkalDone will review its own detection and notification timestamps (Section 9.5) against the service levels in Annexure D. If TatkalDone's own performance fell short, Section 13.4's protection does not apply, and TatkalDone's liability is assessed under Sections 13.1–13.3 and 13.6 in the ordinary way, capped per Section 13.2 except where Section 13.6 applies.
B.5 — A User provides false passenger identity details, leading to denied boarding, and seeks a refund and damages from TatkalDone.
TatkalDone's position: under Section 10.1, this is the User's own error. No service deficiency exists on TatkalDone's part. Refund is governed by Annexure A.11 (no refund). If the false details also amount to fraud against an Agent (e.g., evading an identity-based fare category), the User's indemnification obligation under Section 14.1 may apply to any resulting Agent or platform loss.
